1. General Provisions

1.1 Acceptance

This Terms of Service Agreement ("Agreement") is between you and Beijing Yunlinghang Technology Co., Ltd. ("we", "us", or "our") with respect to your access, download, installation, and use of DepClaw Global (including the desktop client and any corresponding versions, collectively "the Product"), and your use of all services we provide through the Product ("the Service").

Please read this Agreement carefully before using the Service. By downloading, installing, or using the Product, you represent that you have fully read, understood, and agreed to all provisions of this Agreement. If you do not agree to these terms, please do not download, install, or use the Product.

1.2 Amendment of Agreement

We may update this Agreement from time to time. We will notify you of significant changes by posting the new Agreement on our website or through in-app notifications. Your continued use of the Service after such changes constitutes your acceptance of the updated Agreement.

1.3 Scope of Users

(a) Applicable Areas: The Service is provided to users globally, excluding regions where applicable laws prohibit or restrict use of the Service.

(b) Type of User: A natural person with full legal capacity using the Service in a personal or business capacity.

By agreeing to this Agreement, you represent and warrant that you have the legal capacity to enter into this Agreement and that your use of the Service complies with all applicable laws and regulations.

1.4 Fees and Payment

DepClaw Global is provided in both free and paid subscription tiers. Paid subscription services are available only after completing the corresponding payment. For specific service scope, pricing, subscription cycles, and related rules, please refer to the latest official subscription page.

You understand and agree that:

• Monthly subscriptions: all member benefits are distributed on the subscription effective date.
• Annual subscriptions: membership benefits are distributed monthly over 12 calendar months.
• Monthly benefits are valid only within the corresponding calendar month; unused benefits do not carry over.
• Subscription fees are non-refundable except as required by applicable law.

2. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Product on devices you own or control.
• Use the Product for your personal or internal business purposes.

This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Product.

3. Restrictions

You agree not to:

• Copy, modify, or create derivative works of the Product.
• Reverse engineer, decompile, or disassemble the Product.
• Remove or alter any proprietary notices or labels on the Product.
• Use the Product for any unlawful purpose or in violation of any regulations.
• Use the Product to infringe upon the intellectual property rights of others.
• Attempt to gain unauthorized access to any portion of the Service.
• Use automated means to access the Service in a manner that exceeds reasonable usage.
• Use the Product to generate, distribute, or facilitate harmful, abusive, or illegal content.

4. Intellectual Property

The Product and all related intellectual property rights are owned by Beijing Yunlinghang Technology Co., Ltd. or its licensors. This Agreement does not transfer any ownership rights to you. All rights not expressly granted are reserved.

You retain ownership of any content you create using the Product. By using the Service, you grant us a limited license to process your content solely to provide the Service to you.

5. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Please review our Privacy Policy at https://depclaw.com/privacy.html.

6. Local Processing and Data Security

DepClaw Global is designed to process data locally on your device. Screen data, automation tasks, and AI interactions are handled on-device by default. We do not access, store, or transmit your local data to our servers unless you explicitly enable cloud-connected features.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from using the Service will be accurate or reliable.
• Any errors in the Service will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEIJING YUNLINGHANG TECHNOLOGY CO., LTD. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability to you for any claims arising from this Agreement shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach this Agreement. Upon termination, your right to use the Service will immediately cease.

You may terminate this Agreement at any time by uninstalling the Product and ceasing all use of the Service.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be submitted to the competent court in Beijing, China.
